Agreement to Terms

By purchasing, using, or accessing Clean-O-Clean products and services from ESR ENTERPRISES, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, you may not use our products or services.

Safety Requirements

Users must read and follow all Safety Data Sheets (SDS)
Appropriate Personal Protective Equipment (PPE) must be used
Proper ventilation required during use
Emergency procedures must be established and followed
Storage requirements must be strictly observed

Warranty and Disclaimers

Limited Warranty

ESR ENTERPRISES warrants that Clean-O-Clean products will:

Conform to published specifications when used as directed
Be free from defects in materials and workmanship
Perform as described in product literature when properly applied

Disclaimer of Warranties

EXCEPT AS EXPRESSLY SET FORTH HEREIN, ESR ENTERPRISES MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

Limitation of Liability

Liability Limits

Our liability is limited to the purchase price of the products
We are not liable for indirect, special, or consequential damages

Shipping and Delivery

Risk of loss passes to buyer upon delivery to carrier

Delivery and Acceptance

Buyer must inspect products upon delivery
Claims for damage or shortage must be reported within 48 hours
Acceptance of delivery constitutes acceptance of products
Unloading and handling at destination is buyer’s responsibility

Returns and Exchanges

Return Conditions

Governing Law and Disputes

Jurisdiction

These terms are governed by the laws of Tamil Nadu / India
Any disputes will be resolved in Chennai courts
Parties waive right to jury trial
Alternative dispute resolution may be required

Dispute Resolution

Good faith negotiation required before litigation
Mediation may be required before court proceedings
Attorney fees may be awarded to prevailing party
Injunctive relief available for trademark violations

Miscellaneous Provisions

Entire Agreement

These terms constitute the entire agreement between parties
No oral modifications are binding
Written modifications require authorized signature
Conflicting purchase orders do not modify these terms

Severability

Invalid provisions do not affect validity of remaining terms
Unenforceable provisions will be modified to be enforceable
Terms will be interpreted to give maximum legal effect

Force Majeure

Neither party liable for delays due to circumstances beyond control
Force majeure includes natural disasters, government actions, labor disputes
Affected party must provide prompt notice
Performance resumed when circumstances permit
